Terms of Service

These Terms govern your use of the websites, products, and applications operated by Red Mutex and its group companies. By using any of them, you agree to these Terms.

1. Who provides the service

The party providing the specific service you use is one of: Red Mutex (parent group), Payments Central (fintech subsidiary), or RiteCloud (infrastructure department). Where another Red Mutex entity has its own terms (for example, Payments Central), those terms apply for that service.

2. Eligibility

You must be at least 13 years old (or 16 in the EEA where local law applies) and able to form a binding contract under the law of your jurisdiction. If you use the services on behalf of an organisation, you confirm you have authority to bind that organisation.

We may suspend or terminate access if we reasonably believe you are violating these rules. Where the violation is not severe, we will give you a chance to remedy it first.

4. "Ding Dong: Soft Encrypt" — important notice

The "Ding Dong: Soft Encrypt" Android app (package tel.dingdong.app) provides reversible obfuscation ("soft encryption") of text. It is intended for casual privacy: surprise messages, inside jokes, light obfuscation, and keeping a glance-reader from snooping.

It is NOT a substitute for real cryptography (AES, PGP, Signal, end-to-end encrypted messengers). It must not be relied upon for:

You use Ding Dong at your own risk. We make no warranty that the encoding is cryptographically secure, and we expressly disclaim any such warranty.

5. Accounts and credentials

Where a service requires an account, you are responsible for the confidentiality of your credentials and for activity performed under your account. Notify security@redmutex.com as soon as you suspect unauthorised access.

6. Pricing, billing, and refunds

Paid services are billed on the plan and currency listed at sign-up. Unless stated otherwise:

Payments Central and PCPS billing is governed by the Payments Central terms.

7. Your content

You retain ownership of the content you submit to the services (messages, invoices, recordings, configurations). You grant us a non-exclusive, royalty-free licence to host, process, transmit, and display that content only as needed to provide the service to you. We do not use your content to train models for sale to third parties.

8. Our IP

The Red Mutex websites, product source, brand marks, and documentation are owned by Red Mutex or its licensors. Nothing in these Terms grants you a licence to use them outside of using the services normally.

9. Open source

Where any part of the service is distributed under an open-source licence, that licence applies to the open-source component and overrides any conflicting term here for that component only.

10. Third-party services

The services may integrate with or link to third-party services (for example, app stores, payment processors, identity providers). Those services are governed by their own terms; we are not responsible for them.

11. Service levels and availability

We try hard to keep the services available. Unless a separate Service Level Agreement says otherwise, the services are provided on an "as is" and "as available" basis, with the warranties below.

12. Warranties and disclaimers

To the maximum extent allowed by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. The "Ding Dong: Soft Encrypt" cryptographic-strength disclaimer in Section 4 is an essential element of that disclaimer.

13. Limitation of liability

To the maximum extent allowed by law, in no event will Red Mutex (and its group entities, officers, employees, and contractors) be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to the services or these Terms.

Our aggregate liability for direct damages is capped at the amount you paid us in the 12 months immediately before the event giving rise to the claim, or USD 100, whichever is greater. Some jurisdictions do not allow these limits; in those jurisdictions our liability is limited to the smallest amount allowed by law.

14. Indemnity

You will indemnify and hold harmless Red Mutex from any third-party claim arising out of your breach of these Terms or your unlawful use of the services.

15. Suspension and termination

Either party may terminate a service at any time, with or without cause. We will give you reasonable notice unless we suspend access in response to a security or legal emergency. Upon termination, your right to use the service ends; provisions of these Terms that by their nature should survive (for example, IP, warranties, liability limits) will survive.

16. Changes to these Terms

We may update these Terms. Material changes are announced on this page and, where you have an account, by email. Continued use after the effective date constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates, excluding its conflict-of-laws rules. The courts of Dubai, UAE have exclusive jurisdiction over disputes, except that we may seek injunctive relief in any court of competent jurisdiction to protect our IP or systems.

If you are a consumer based in the EEA or the UK, mandatory consumer-protection law in your country of residence may give you additional rights that cannot be waived by these Terms.

18. Miscellaneous

These Terms (plus any product-specific terms and our Privacy Policy) are the entire agreement between you and Red Mutex. If any clause is unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them to a Red Mutex group entity or in connection with a merger or sale.
